The specific scope, deliverables, timeline, and pricing for each engagement will be defined in a separate written agreement or statement of work.
3. Website Use
- You may use our website for lawful purposes only.
- You must not use our website in any way that may cause damage, impairment, or interference with the availability or accessibility of the website.
- You must not attempt to gain unauthorised access to any part of our website, server, or connected systems.
- All content on this website, including text, graphics, logos, and code, is the property of Ninelayer Systems Limited unless otherwise stated.
4. Intellectual Property
Unless otherwise agreed in a separate written agreement:
- All intellectual property rights in our website content remain with Ninelayer Systems Limited.
- Intellectual property rights in custom work delivered to clients will be assigned upon full payment, as specified in the relevant project agreement.
- We retain the right to use general knowledge, skills, experience, and techniques gained during the course of providing services.
5. Pricing & Payment
- All prices are quoted in GBP (British Pounds Sterling) unless otherwise specified.
- Quotes are valid for 30 days from the date of issue unless stated otherwise.
- Payment terms will be specified in the relevant project agreement. Standard terms are 50% upfront, 50% on delivery.
- Late payments may incur interest at 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
6. Confidentiality
We treat all client information as confidential. We will not disclose any information shared with us during the course of a project to third parties, except:
- Where required by law or regulation
- To our professional advisers who are bound by confidentiality obligations
- With your prior written consent
We expect the same confidentiality from our clients regarding our proprietary methods, pricing, and internal processes.
7. Limitation of Liability
- Our total liability to you for any claim arising from our services shall not exceed the total fees paid by you for the specific services giving rise to the claim.
- We shall not be liable for any indirect, consequential, special, or punitive damages, including loss of profit, revenue, data, or business opportunity.
- Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
8. Warranties & Disclaimers
- We warrant that our services will be performed with reasonable skill and care.
- Our website is provided "as is" without any warranties of any kind, whether express or implied.
- We do not guarantee that our website will be uninterrupted, error-free, or free from viruses or other harmful components.
- We are not responsible for the content of any third-party websites linked from our site.
9. Termination
Either party may terminate a services engagement by providing written notice as specified in the relevant project agreement. Upon termination:
- You will pay for all work completed up to the termination date.
- We will deliver all completed work and documentation.
- Provisions relating to intellectual property, confidentiality, and liability will survive termination.
10. Data Protection
We process personal data in accordance with our Privacy Policy and in compliance with the UK GDPR and Data Protection Act 2018. Where we process personal data on your behalf, we will enter into a separate data processing agreement.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
12. Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated date. Continued use of our website or services after changes constitutes acceptance of the updated Terms.
